1. Introduction

These Terms & Conditions govern your use of the Nexus Commodities Tanzania Limited website. By using this website, you agree to these terms.

2. Commodity Information

• All commodity specifications, prices, and availability are indicative and subject to change without notice
• Final specifications confirmed in the Sales Contract / Sale and Purchase Agreement (SPA)

3. RFQ and Order Process

• Submitting an RFQ (Request for Quotation) does NOT constitute a binding contract
• A binding contract only exists upon signed Sales Contract / SPA
• RFQ reference numbers are for identification purposes only

4. Pricing and Payment

• All prices are FOB Dar es Salaam in USD
• Prices subject to change until LC confirmation or payment
• Payment terms as agreed in the Sales Contract

5. Limitation of Liability

• Nexus Commodities Tanzania Limited is not liable for indirect or consequential damages
• Maximum liability limited to the invoice value of the specific shipment in question

6. Force Majeure

Neither party shall be liable for delays or failures in performance due to: Acts of God, port closures, government actions, natural disasters, war, terrorism, strikes, embargoes, or any event beyond reasonable control.

7. Governing Law

These terms are governed by the laws of the United Republic of Tanzania.

8. Dispute Resolution

Any disputes arising from these terms or any contract shall be resolved through arbitration in Dar es Salaam, Tanzania, under Tanzanian law. GAFTA (grains) and FNIC (cashew) trade rules apply where applicable.
